Welcome to ScriptMint Solutions Pvt Ltd ("Company", "we", "our", "us"). These Terms and Conditions govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms and Conditions.

  • "Services" refers to all software development, consulting, and related services provided by ScriptMint Solutions Pvt Ltd.
  • "Client" or "You" refers to the individual or organization using our services.
  • "Products" refers to software solutions, including InstiKit School ERP and other platforms developed by us.
  • "Agreement" refers to these Terms and Conditions along with any additional service agreements.

3. Services

ScriptMint Solutions Pvt Ltd provides custom software development, school ERP solutions, web applications, and digital consulting services. The specific scope of services will be detailed in separate project agreements or service contracts.

3.1 Service Delivery

We commit to delivering services with professional care and expertise. Timelines and deliverables will be agreed upon in project-specific contracts. While we strive to meet all deadlines, unforeseen circumstances may require timeline adjustments, which will be communicated promptly.

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any service with reasonable notice to affected clients. Critical services will maintain backward compatibility whenever possible.

4. Intellectual Property Rights

4.1 Custom Development Work

For custom development projects, intellectual property rights will be transferred to the client upon full payment, unless otherwise specified in the project agreement. We retain the right to use general knowledge, methodologies, and non-proprietary techniques learned during the project.

4.2 Product Licenses

For our products like InstiKit School ERP, clients receive a license to use the software as specified in the license agreement. We retain all intellectual property rights to the core platform, updates, and improvements.

4.3 White-Label Solutions

White-labeled deployments grant clients the right to rebrand the user-facing aspects of the software while we retain ownership of the underlying codebase and infrastructure.

5. Payment Terms

5.1 Pricing

All prices are quoted in the agreed currency and are subject to the terms specified in individual contracts. Prices may be subject to change with 30 days notice for ongoing services.

5.2 Payment Schedule

Payment terms will be specified in project agreements. Typical terms include milestone-based payments or subscription models. Late payments may incur interest charges and may result in service suspension.

5.3 Refunds

Refund policies vary by service type and will be detailed in specific service agreements. Generally, payments for completed work or active subscriptions are non-refundable.

6. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information required for project completion
  • Respond to queries and provide feedback within agreed timeframes
  • Maintain confidentiality of access credentials and account information
  • Use services in compliance with applicable laws and regulations
  • Ensure they have necessary rights to any content or materials provided to us
  • Make timely payments as per agreed schedules

7. Data and Privacy

7.1 Data Ownership

Clients retain ownership of all data entered into our systems. We act as data processors for client data and will handle it according to our Privacy Policy and applicable data protection laws.

7.2 Data Security

We implement industry-standard security measures to protect client data. However, no system is completely secure, and we cannot guarantee absolute security.

7.3 Data Backup

For cloud-hosted solutions, we maintain regular backups. For self-hosted deployments, backup responsibility lies with the client unless otherwise agreed.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that services will be performed with reasonable skill and care. We strive for 99.9% uptime for cloud services but cannot guarantee uninterrupted service.

8.2 Disclaimers

Services are provided "as is" without warranty of any kind beyond those explicitly stated. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose, to the extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, ScriptMint Solutions Pvt Ltd shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions beyond our reasonable control
  • Client's failure to maintain data backups
  • Unauthorized access to or use of our servers or client data

Our total liability shall not exceed the amount paid by the client for services in the 12 months preceding the claim.

10. Termination

10.1 By Client

Clients may terminate services with 30 days written notice. Termination does not relieve the client of payment obligations for services already rendered or committed resources.

10.2 By ScriptMint

We may terminate services immediately for breach of terms, non-payment, or illegal use. We may also terminate with 60 days notice for convenience.

10.3 Data Return

Upon termination, we will provide client data in a standard format within 30 days, subject to payment of all outstanding fees.

11. Support and Maintenance

Support and maintenance terms are specified in separate service level agreements (SLAs). We provide various support tiers with different response times and coverage levels.

Standard support includes bug fixes and security updates. Feature enhancements and customizations may require additional agreements.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This obligation survives termination of the relationship.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/telecommunications failures.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of modified terms.

For material changes affecting existing contracts, we will provide 30 days notice before implementation.

15. Governing Law and Disputes

These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of courts in [Your City], India.

Both parties agree to attempt resolution through good faith negotiation before pursuing legal action. Mediation or arbitration may be pursued as an alternative to litigation.

16. Severability
